SWEEPSTAKES IS OPEN ONLY TO LEGAL RESIDENTS OF AL, FL, GA, IN, KY, NC, OH, SC & TN, 18 YEARS OF AGE AND OLDER OR THE AGE OF MAJORITY IN THEIR STATE OF RESIDENCE, WHICHEVER IS OLDER. VOID IN PUERTO RICO AND WHERE PROHIBITED.

1. Eligibility: The LG "Transform Your Home into Something Better" Sweepstakes ("Sweepstakes" or "Promotion") is open only to legal residents of AL, FL, GA, IN, KY, NC, OH, SC & TN age 18 and older or of the age of majority in their state of residence, whichever is older. Employees, officers and directors of LG Electronics U.S.A., Inc. ("Sponsor"), Alcone Marketing Group ("Administrator"), hhgregg, Inc. ("hhgregg"), Paramount Pictures Corporation ("Paramount") and each of their respective parent companies, subsidiaries, corporate affiliates, advertising and promotion agencies, entities engaged in the design and implementation of the Sweepstakes and the immediate family members or members of the same household of such individuals are not eligible. "Immediate family" means parents, children, siblings and spouse and their respective spouses, regardless of where they reside. Void in Puerto Rico and where prohibited. Paramount is not responsible for the collection, submission or processing of entries, the administration of the Sweepstakes or the selection of winners.

2. Sweepstakes Period: Sweepstakes begins on June 14, 2009 and ends on July 18, 2009.

3. How To Enter: To enter, obtain and complete an Official Entry Form (while supplies last) at participating hhgregg stores. Deposit completed entry in an LG "Transform Your Home into Something Better" Sweepstakes store entry box by 7/18/09. Sponsor and their agencies are not responsible for lost, misdirected, misplaced or late entries or mail. Entries which are incomplete, mutilated, altered, or unreadable will be void. Only one entry per person. All entries become the property of Sponsor and will not be acknowledged or returned.

4. Drawing: A random drawing will be conducted on or about August 21, 2009 from among all eligible entries timely received by Administrator, an independent judging agency. Odds of winning a prize depend on number of eligible entries received.

5. Notification: Prize winners will be notified by express courier ("Notification") and will be required to complete, sign and return an Affidavit or Declaration of Eligibility, a Liability Release and where permitted, a Publicity Release within the time specified in the notification letter. Failure by winner to timely return the completed documents or the return of any prize notification or prize as undeliverable will cause prize to be forfeited and awarded to an alternate winner.

(1) "LG Technology Invasion" Grand Prize: (1) LG Wild Cherry Red Laundry (w/ pedestal) (ARV: $3,756), (1) LG 4-door Refrigerator (ARV: $2,699), (1) LG Free Standing Electric Range (ARV: $1,499), (1) LG Over-the-Range Microwave (ARV: $269), (1) LG Dishwasher (ARV: $999), (1) LG 47" 120 Hz LCD TV (ARV: $1,699), (1) LG Blu-ray Disc™ Home Theater System (ARV: $599). Complete Grand Prize ARV: $11,520.

(1) "LG Technology Takeover" First Prize: (1) LG 42" LCD TV (ARV: $1,050) and (1) LG Blu-ray Disc™ Home Theater System (ARV: $599). Complete First Prize ARV: $1,649.

(5) "LG Technology Upgrade" Second Prizes: (1) LG 26" LCD TV (ARV: $499).

Total Retail Value of All Prizes: $15,664. Installation and other services not included.

7. Prize Restrictions: No cash or other prize substitution in whole or in part except by Sponsor at its sole discretion for any reason for prize of comparable value. No prize transfers. Limit one prize per person. Applicable taxes on prize and any expenses related to the acceptance and use of a prize not specified in these Official Rules are the sole responsibility of the winner. Grand and First Prize winner each will receive an IRS 1099 Form for the value of prize.

8. General Conditions: By participating, entrants agree: (a) to be bound by these Official Rules and the decisions of Sponsor and judges which shall be final and binding in all matters relating to the Sweepstakes; (b) to release, discharge and hold harmless LG Electronics U.S.A., Inc., Alcone Marketing Group, hhgregg, Paramount and each of their respective parent companies, subsidiaries, corporate affiliates, advertising and promotion agencies, entities engaged in the design and implementation of the Sweepstakes ("Sweepstakes Entities") from and against any and all liability, injuries, losses, damages, rights, claims and actions of any kind, including personal injury and/or death or property damage, sustained in connection with his/her participation in this Sweepstakes, or from his/her receipt, possession, acceptance and/or use or misuse of any prize, or for any error in the handling of personally identifiable information or the announcement of any prize; (c) that the foregoing Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guaranty, expressed or implied, in fact or in law, relating to a prize and all such prizes are awarded "as is"; (d) if a winner, by accepting prize, to the use in perpetuity (except where prohibited by law) of his/her name, photograph and/or likeness by Sponsor or any party authorized by Sponsor for advertising, trade and promotional purposes in all media now or hereinafter existing without review or additional compensation and, upon request, to provide such consent in writing; (e) participants agree to indemnify Sponsor for any unauthorized use or misuse of or modification to the Prize; and (f) participants who do not comply with these Official Rules, or who attempt to interfere with this Sweepstakes in any way shall be disqualified.

9. Liability Limitations: The Sweepstakes Entities are not responsible for and shall not be liable for: (a) printing or typographical errors in any Sweepstakes-related materials and in the event of any inconsistency between Sweepstakes-related materials and these Official Rules, these Official Rules shall govern and control, (b) human error which may occur in the collection and processing of entries; (c) lost, late, misdirected or incomplete entries or personal information or mail; or(e) any condition caused by events that may cause the Sweepstakes to be disrupted or corrupted, regardless of the reason. Sponsor reserves the right, at its sole discretion, to cancel or suspend the Sweepstakes or any portion thereof should suspected or actual tampering or other causes corrupt the administration, security, integrity or proper play of the Sweepstakes. In the event of cancellation or suspension, the prizes will be awarded in a random drawing among all eligible entries legitimately received immediately prior to the event(s) causing the termination or suspension. Sponsor, at its sole discretion, reserves the right to void any entries determined by Sponsor in its sole discretion to have been submitted fraudulently or in contravention of the Official Rules.

CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. SPONOR'S FAILURE TO ENFORCE ANY TERM OF THESE OFFICIAL RULES SHALL NOT CONSTITUTE A WAIVER OF THAT PROVISION.

Sweepstakes, including construction, validity, interpretation and enforceability of these Official Rules shall be (1) governed by the laws of the State of New Jersey without regard to choice of law or conflict of law principles (whether of the State of New Jersey or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New Jersey; (2) any dispute, claims and causes of action arising out of or connected in any way with the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and brought exclusively in a federal or state court in the county of Bergen in the state of New Jersey; (3) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys' fees or court costs; and (4) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

10.
